INDEPENDENT AGENT AGREEMENT

This Independent Agent Agreement (the “Agreement”) is entered into by and between:
Pro Financial Group, Corp, a corporation duly organized and existing under the laws of the State of North Carolina, United States of America, with its principal place of business for purposes of this Agreement located at 3440 Toringdon Way, Suite 308, Charlotte, NC 28277, duly represented herein by Dr. Domingo Herrera in his capacity as President, together with its parent company and affiliated companies, directors, officers, shareholders, and employees (collectively referred to herein as the “Company”);

hereinafter referred to as the “AGENT”, “INDEPENDENT CONTRACTOR”, or “CONTRACTOR”.
WHEREAS, the CONTRACTOR has expressed his/her interest in providing services to the Company in the capacity of an independent contractor, and declares his/her willingness to accept such engagement and to be bound by the terms, conditions, and provisions set forth in this Agreement;
NOW, THEREFORE, in consideration of the foregoing representations, and of the mutual covenants, obligations, and promises contained herein, the parties hereby agree as follows:
The CONTRACTOR represents and warrants that all information provided to the Company in his/her application and related documentation is complete, true, and accurate. The CONTRACTOR further agrees to strictly comply with the Code of Conduct and the Policies and Procedures currently in effect of PRO FINANCIAL GROUP, CORP., available at www.profinancialgroup.com, as well as with the official Compensation Plan and all guidelines governing the promotion and marketing of products and services authorized by the Company. The CONTRACTOR shall use exclusively the literature, materials, and communications officially approved by PRO FINANCIAL GROUP, CORP.
FIRST: NATURE OF THE RELATIONSHIP
The AGENT shall at all times act as an independent contractor and not as an employee, partner, fiduciary agent, legal representative, or associate of the Company for any purpose whatsoever.
Nothing contained in this Agreement shall be construed to create an employment relationship, partnership, joint venture, agency, general agency, fiduciary relationship, or any similar relationship between the parties.
The AGENT acknowledges and agrees that:
- a) The AGENT shall retain exclusive control over the manner, means, and methods by which the services are performed, subject only to compliance with applicable corporate policies and governing laws and regulations;
- b) The AGENT shall be solely responsible for the payment of all applicable federal, state, and local taxes, including but not limited to income taxes, self-employment taxes, Social Security, Medicare contributions, and any other applicable tax obligations;
- c) The AGENT shall be responsible for obtaining and maintaining in full force and effect all licenses, regulatory approvals, certifications, and insurance coverage required by applicable law;
- d) The AGENT shall bear all operating, business, and administrative expenses incurred in connection with the performance of services;
- e) The AGENT shall not be entitled to any employment-related benefits of any kind, including but not limited to health insurance, unemployment compensation, workers’ compensation coverage, paid leave, retirement plans, or similar benefits.
The Company may issue the appropriate tax reporting forms, including but not limited to IRS Form 1099-NEC, in accordance with applicable law.
The AGENT shall have no authority, whether express or implied, to bind, obligate, represent, incur debt on behalf of, make binding representations for, or otherwise legally or financially commit the Company, unless expressly authorized in writing by a duly authorized corporate representative of the Company.
The AGENT agrees to indemnify, defend, and hold harmless the Company from and against any and all claims, fines, penalties, liabilities, damages, or expenses arising out of or related to the AGENT’s failure to comply with tax or regulatory obligations, or from any act or omission outside the scope of authorized activities.
SECOND: INTELLECTUAL PROPERTY AND CORPORATE SYSTEM
All corporate systems, methodologies, business strategies, compensation structures, presentations, scripts, training programs, educational materials, manuals, databases, prospect lists, leads, client portfolios, confidential information, trademarks, trade names, logos, designs, reputation, goodwill, operational processes, software, digital content, know-how, trade secrets, and any improvements, modifications, adaptations, developments, or derivative works directly or indirectly related thereto (collectively, the “Intellectual Property”), are and shall at all times remain the sole and exclusive property of PRO FINANCIAL GROUP, CORP.
Nothing in this Agreement shall be construed as a transfer of ownership or assignment of any intellectual property rights to the AGENT.
The AGENT acknowledges that such Intellectual Property constitutes confidential information and trade secrets protected under applicable state laws and under the Defend Trade Secrets Act (18 U.S.C. § 1836).
During the term of this Agreement, the Company grants the AGENT a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license solely for authorized operational purposes within the Company’s corporate system.
Such license:
- a) Grants no ownership rights whatsoever;
b) Does not permit copying, reproduction, modification, or distribution outside the authorized scope;
c) Automatically terminates upon termination of the contractual relationship, without the need for further notice.
Any material, improvement, adaptation, content, presentation, or development created by the AGENT that is directly or indirectly related to the Company’s business, system, or activities shall be deemed a “work made for hire” to the fullest extent permitted by law. To the extent that any such creation does not qualify as a work made for hire, the AGENT hereby irrevocably assigns to the Company all right, title, and interest therein.
Any unauthorized use, misappropriation, reproduction, disclosure, or exploitation of the Intellectual Property shall entitle the Company to seek immediate injunctive relief, monetary damages, exemplary damages where applicable, and any other remedies available at law or in equity.
THIRD: CONFIDENTIALITY AND PROTECTION OF TRADE SECRETS
For purposes of this Agreement, “Confidential Information” shall mean all non-public information, whether written, oral, digital, or in any other format, to which the AGENT has direct or indirect access, including but not limited to: corporate systems, business strategies, compensation structures, client lists, databases, leads, financial information, training materials, scripts, manuals, internal processes, know-how, trade secrets, expansion plans, technological information, and any other proprietary information of the Company.
The AGENT agrees to:
- a) Maintain strict confidentiality with respect to all Confidential Information;
b) Not copy, reproduce, download, store, transmit, disclose, or permit access to any third party without prior written authorization;
c) Use such information solely for authorized purposes within the scope of this Agreement;
d) Implement reasonable safeguards to protect such information against unauthorized access.
The obligations set forth herein shall be indefinite with respect to trade secrets and shall remain in effect for so long as such information retains its trade secret status under applicable law. With respect to other Confidential Information that does not qualify as a trade secret, the obligation shall survive for a period of five (5) years following termination of this Agreement.
Upon termination of the contractual relationship, the AGENT shall immediately return and/or destroy all Confidential Information, including any physical or digital copies, and shall certify in writing compliance with this obligation.
The AGENT acknowledges that any unauthorized use or disclosure of Confidential Information would cause irreparable harm to the Company. Accordingly, the Company shall be entitled to seek immediate injunctive relief, in addition to monetary damages, exemplary damages where applicable, attorneys’ fees, and any other remedies available at law or in equity.
Pursuant to the Defend Trade Secrets Act (18 U.S.C. § 1833), the AGENT shall not be held liable under federal or state trade secret laws for the disclosure of confidential information when such disclosure is made in confidence to an attorney or to a governmental authority solely for the purpose of reporting or investigating a suspected violation of law.
FOURTH: EXCLUSIVITY AND CONFLICT OF INTEREST DURING THE TERM
During the term of this Agreement, the AGENT agrees to maintain commercial loyalty to the Company with respect to the activities covered under this Agreement.
Accordingly, the AGENT shall not, directly or indirectly:
- a) Sell, promote, distribute, or market products or services that substantially compete with the products or services offered by the Company within the same target market;
- b) Engage in commercial activities that create a material conflict of interest with the Company;
- c) Use information, contacts, databases, or relationships obtained through the Company for the benefit of competing third parties.
For purposes of this Agreement, a “material conflict of interest” shall mean any activity that could reasonably impair the AGENT’s ability to act in the Company’s best commercial interest with respect to the authorized products and services.
This obligation shall apply exclusively during the term of this Agreement and shall not extend beyond its termination, except as otherwise provided in the confidentiality and non-solicitation provisions.
Any breach of this provision shall entitle the Company to immediately terminate this Agreement and to pursue all available legal remedies, including monetary damages and injunctive relief where appropriate.
For purposes of this Agreement, competing products or services shall include those related to the marketing or sale of:
- Index Universal Life (IUL) policies;
• Whole Life insurance policies;
• Term life insurance policies;
• Structured financial strategies utilizing permanent life insurance policies for capital accumulation intended for real estate investment;
• Business models, methodologies, or systems that use life insurance as the primary vehicle for capital creation for real estate investment purposes.
Activities shall not be deemed competitive if they are not substantially related to the foregoing categories or do not materially interfere with the AGENT’s commercial activities under this Agreement.
FIFTH: NON-SOLICITATION AND POST-TERMINATION RESTRICTIONS
Upon termination of this Agreement for any reason, the AGENT shall be free to practice his or her profession, subject only to the reasonable limitations set forth below, which the parties acknowledge as necessary to protect the Company’s legitimate business interests, including its trade secrets, confidential information, and goodwill.
A. Permanent Protection of Trade Secrets
Without any temporal limitation, the AGENT shall not, directly or indirectly:
- Use, disclose, or exploit the Company’s trade secrets or Confidential Information;
- Replicate, reproduce, implement, or teach the Company’s corporate systems, methodologies, strategic structures, or business models;
- Copy, adapt, distribute, or reuse proprietary materials, presentations, training programs, manuals, or content;
- Use databases, client lists, leads, prospects, or information obtained during the term of the Agreement.
B. Non-Solicitation of Clients and Agents
During and after termination of this Agreement, the AGENT shall not, directly or indirectly:
- Recruit, induce, persuade, or attempt to recruit any agents, affiliates, representatives, or active members of the Company’s organization to terminate their relationship with the Company or to associate with a competing third party;
- Divert, solicit, capture, or attempt to capture clients, prospects, or leads of the Company with whom the AGENT had material contact, commercial interaction, or access to information during the term of this Agreement and following its termination.
For purposes of this provision, “material contact” shall mean direct communication, advisory services, proposal presentation, access to strategic information, or participation in the sales process.
C. Reasonableness and Judicial Modification
The parties agree that the restrictions set forth herein are reasonable in scope, duration, and purpose. However, should a court of competent jurisdiction determine that any provision is overly broad or unenforceable, such court shall have the authority to modify the provision to the extent necessary to render it valid and enforceable, while preserving the maximum protection permitted by law (blue pencil doctrine).
D. Injunctive Relief and Attorneys’ Fees
The AGENT acknowledges that a breach of this Section would cause irreparable harm to the Company. Accordingly, the Company shall be entitled to seek immediate injunctive relief, including a temporary restraining order, preliminary injunction, or permanent injunction, in addition to compensatory damages, exemplary damages where applicable, and recovery of reasonable attorneys’ fees and court costs.
The obligations contained in this Section shall remain in effect for so long as the information retains its status as a trade secret under applicable law.
SIXTH: PROTECTION OF ORGANIZATION, NETWORK, AND CORPORATE GOODWILL
The AGENT acknowledges and agrees that any team, agent network, organizational structure, downline, affiliates, representatives, client portfolio, prospects, databases, goodwill, and business relationships developed during the term of this Agreement — even if recruited, managed, or directly led by the AGENT — were created under the brand, systems, methodologies, strategies, personalized support, training, infrastructure, and corporate resources provided by PRO FINANCIAL GROUP, CORP.
Accordingly, the parties agree as follows:
1. Corporate Nature of the Organization
Any organization created under the Company’s corporate system shall be deemed an integral part of the goodwill and business structure of PRO FINANCIAL GROUP, CORP., and shall not be considered the exclusive, transferable, or appropriable property of the AGENT.
2. Prohibition of Migration or Transfer
Upon termination of this Agreement for any reason, the AGENT shall not, directly or indirectly:
- a) Transfer, migrate, reassign, or induce members of his or her organization to operate under another competing company;
b) Dismantle, reorganize, or substantially replicate the structure created using the Company’s systems or methodologies;
c) Use influence, leadership, or relationships developed within the corporate system to divert all or part of the organization;
d) Facilitate the collective or individual transition of agents or clients to competing external structures.
3. No Restriction on Independent Decisions
Nothing in this Section shall prevent third parties, absent solicitation, inducement, coordination, or interference by the AGENT, from voluntarily terminating their relationship with the Company on their own initiative.
4. Acknowledgment of Legitimate Business Interests
The AGENT acknowledges that this provision protects the Company’s legitimate business interests, including its investment in training, organizational development, trade secrets, and corporate goodwill.
5. Injunctive Relief and Remedies
Any breach of this Section shall entitle the Company to seek immediate injunctive relief, compensatory damages, exemplary damages where applicable, and recovery of reasonable attorneys’ fees and legal costs.
SEVENTH: DATA PROTECTION AND REGULATORY COMPLIANCE
The AGENT agrees to strictly comply with all applicable federal, state, and regulatory laws governing privacy, data protection, and information security, including, without limitation, the Gramm-Leach-Bliley Act (GLBA), the FTC Safeguards Rule, the California Consumer Privacy Act (CCPA/CPRA), and any other applicable state or federal legislation in the jurisdictions in which the AGENT operates.
1. Limited Use of Personal Information
The AGENT shall use personal or financial information of clients, prospects, or agents solely for legitimate and authorized purposes within the scope of this Agreement.
2. Security Measures
The AGENT shall implement and maintain reasonable and appropriate administrative, technical, and physical safeguards to protect such information against unauthorized access, disclosure, alteration, or improper destruction.
3. Prohibition of Unauthorized Disclosure
The AGENT shall not sell, share, transfer, or disclose personal information to any third party without the Company’s prior express written authorization, except where required by law.
4. Incident Notification
The AGENT shall provide written notice to the Company within twenty-four (24) hours after becoming aware of any unauthorized access, loss, data breach, security incident, or other event compromising personal or financial data relating to the Company.
5. Cooperation in Investigation
The AGENT shall fully cooperate in any internal investigation, regulatory notification, or compliance obligations arising from a security incident.
6. Liability and Indemnification
The AGENT shall be responsible for any breach of this Section and shall indemnify, defend, and hold harmless the Company from and against any fines, penalties, claims, damages, and legal costs arising from the AGENT’s negligence, breach, or misconduct.
EIGHTH: INJUNCTIVE RELIEF AND REMEDIES
The AGENT acknowledges and agrees that any breach of the obligations set forth in the Confidentiality, Intellectual Property, Non-Solicitation, Organization Protection, and Data Protection Sections will cause irreparable harm to the Company, the monetary value of which would be difficult or impossible to determine with precision.
Accordingly, in addition to any other remedies available at law or in equity, the Company shall be entitled to:
- Seek and obtain immediate injunctive relief, including a Temporary Restraining Order (TRO), Preliminary Injunction, and Permanent Injunction, without the necessity of proving specific economic damages;
- Seek specific performance of the contractual obligations;
- Recover compensatory damages, consequential damages, and exemplary damages where applicable;
- Recover reasonable attorneys’ fees, court costs, and expenses related to the enforcement of this Agreement;
- Exercise any other remedy permitted under applicable law.
The AGENT expressly waives any argument that the Company has an adequate remedy at law solely in the form of monetary damages.
The rights and remedies set forth herein shall be cumulative and shall not be deemed exclusive of any other rights or remedies provided under this Agreement or applicable law.
NINTH: GOVERNING LAW, JURISDICTION, AND EXCLUSIVE VENUE
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without giving effect to any conflict of laws principles that would result in the application of the laws of another jurisdiction.
The parties agree that any action, claim, or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state courts located in Mecklenburg County, North Carolina, or in the United States District Court for the Western District of North Carolina, as applicable.
The AGENT expressly and irrevocably consents to the personal jurisdiction of such courts and waives any objection based on lack of jurisdiction, improper venue, forum non conveniens, or any similar argument.
The parties agree that such forum constitutes a proper and convenient venue for the resolution of any dispute.
TENTH: RESPONSIBILITY FOR CHARGEBACKS, REIMBURSEMENT, AND INTEREST
The AGENT acknowledges that within the life insurance industry, insurance carriers may advance commissions based on the annualized premium amount, and that such commissions are subject to full or partial reversal (“chargeback”) in the event of cancellation, rescission, reduction, lapse, non-payment, or early termination of the policy within the responsibility period established by the carrier.
1. Direct and Sole Responsibility
The AGENT shall be exclusively responsible for any chargeback arising from policies sold, promoted, or serviced directly or indirectly by the AGENT.
The AGENT acknowledges that the insurance carrier may assess the chargeback:
- a) Directly against the AGENT;
b) Against PRO FINANCIAL GROUP, CORP.;
c) Against one or more agents in the upline hierarchy.
Regardless of whom the carrier charges, the AGENT shall remain the ultimate responsible party for the full amount owed.
2. Right of Reimbursement in Favor of PRO FINANCIAL GROUP, CORP.
In the event the carrier deducts, charges, or offsets the chargeback against PRO FINANCIAL GROUP, CORP. or any member of the upline, the AGENT agrees to reimburse PRO FINANCIAL GROUP, CORP. the full amount assessed within thirty (30) calendar days from written notice.
The AGENT acknowledges that PRO FINANCIAL GROUP, CORP. is expressly authorized to demand and collect such amount directly, regardless of any intermediate sponsorship structure.
3. Assignment and Subrogation
To the extent PRO FINANCIAL GROUP, CORP. pays or absorbs any chargeback generated by the AGENT, the AGENT acknowledges the automatic subrogation of the Company to the corresponding rights of collection and agrees that the Company shall be entitled to seek full reimbursement.
4. Liquidated Debt
Any unpaid amount beyond the stated deadline shall constitute a liquidated, due, and payable debt in favor of PRO FINANCIAL GROUP, CORP., without the need for further demand.
5. Interest for Late Payment
Any outstanding balance shall accrue interest at a fixed annual rate of twelve percent (12%) or the maximum rate permitted under applicable law, calculated from the date of default until full payment is made.
6. Legal Recovery and Credit Reporting
In the event of non-payment, PRO FINANCIAL GROUP, CORP. may:
- a) Initiate legal action for collection;
b) Recover reasonable attorneys’ fees, court costs, and collection expenses;
c) Report the debt to credit reporting agencies in accordance with the Fair Credit Reporting Act (FCRA) and other applicable laws, following notice to the AGENT and a reasonable opportunity to dispute the debt.
7. Acknowledgment of Industry Practice
The AGENT acknowledges that this provision constitutes standard industry practice within the insurance sector and forms an essential part of this Agreement.
ELEVENTH: SEVERABILITY AND JUDICIAL REFORMATION (BLUE PENCIL)
If any provision of this Agreement, or any portion thereof, is declared invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be construed, modified, or limited to the minimum extent necessary to render it valid and enforceable under applicable law, while preserving to the greatest extent possible the original intent of the parties.
The parties expressly authorize the court to reform any provision that is determined to be excessive in scope, duration, or geographic reach, so that it may be enforced to the maximum extent permitted by law without affecting the validity of the remainder of this Agreement.
The invalidity or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of this Agreement, which shall remain in full force and effect.
The parties acknowledge that each obligation contained in this Agreement is independent and severable.
TWELFTH: SURVIVAL
Any provisions of this Agreement which, by their nature, are intended to survive termination shall remain in full force and effect after termination, regardless of the cause thereof.
Without limiting the foregoing, the following provisions shall survive:
- Obligations relating to trade secrets and Confidential Information, which shall remain in effect for so long as such information retains its confidential or trade secret status under applicable law;
- Provisions relating to Intellectual Property and assignment of rights;
- Non-Solicitation and Organization Protection obligations for the expressly stated durations;
- Obligations relating to Data Protection;
- Provisions concerning Chargebacks, reimbursement, interest, and any outstanding payment obligations;
- Provisions relating to Injunctive Relief, Jurisdiction, Attorneys’ Fees, and any other contractual remedies.
Termination of this Agreement shall not release the AGENT from accrued obligations, outstanding liabilities, or any breach occurring prior to termination.
THIRTEENTH: TERMINATION FOR CAUSE
The Company may terminate this Agreement immediately and without prior notice in the event that the AGENT:
- a) Breaches any material provision of this Agreement;
b) Engages in fraud, misrepresentation, deceptive conduct, or practices contrary to applicable laws or regulations;
c) Violates the Company’s Policies and Procedures;
d) Engages in acts that may damage the reputation, brand, or goodwill of PRO FINANCIAL GROUP, CORP.;
e) Fails to comply with obligations relating to confidentiality, non-solicitation, data protection, or chargebacks.
Termination for cause shall not release the AGENT from accrued obligations or outstanding liabilities.
FOURTEENTH: ENTIRE AGREEMENT
This Agreement constitutes the entire and complete agreement between the parties and supersedes all prior negotiations, representations, promises, agreements, or understandings, whether oral or written.
The AGENT acknowledges that he or she has not relied upon any representations or promises not expressly set forth in this Agreement.
FIFTEENTH: AMENDMENTS
Any modification, amendment, or alteration of this Agreement must be in writing and signed by a duly authorized corporate representative of PRO FINANCIAL GROUP, CORP.
No verbal communication, email, text message, or informal exchange shall constitute a valid amendment.
SIXTEENTH: WAIVER
The failure of the Company to exercise any right provided under this Agreement shall not constitute a waiver of such right nor prevent its subsequent enforcement. Any waiver must be in writing to be effective.
SEVENTEENTH: ATTORNEYS’ FEES (PREVAILING PARTY)
In any action or proceeding arising out of or relating to this Agreement, the substantially prevailing party shall be entitled to recover reasonable attorneys’ fees, court costs, and related expenses.
EIGHTEENTH: WAIVER OF JURY TRIAL
To the fullest extent permitted by applicable law, the parties expressly waive their right to a trial by jury in any litigation arising out of or relating to this Agreement.
NINETEENTH: ELECTRONIC SIGNATURES AND COUNTERPARTS
This Agreement may be executed in one or more counterparts, including by electronic signature, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
The parties agree that electronic signatures shall have the same legal validity and enforceability as original handwritten signatures, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and any other applicable law.
TWENTIETH: IRREVOCABLE AUTHORIZATION FOR USE OF IMAGE, VOICE, AND AUDIOVISUAL CONTENT
The AGENT acknowledges and agrees that, within the scope of his or her contractual relationship with Pro Financial Group, Corp., he or she may voluntarily participate in conferences, training sessions, in-person or virtual meetings, live broadcasts, recordings, interviews, educational programs, corporate presentations, promotional events, and/or content distributed through any existing or future media platforms, including but not limited to YouTube, social media, websites, educational platforms, television, radio, podcasts, and printed or digital advertising materials.
Accordingly, the AGENT hereby grants Pro Financial Group, Corp., its affiliates, successors, assigns, and representatives an express, irrevocable, perpetual, worldwide, and royalty-free authorization to:
- a) Record, reproduce, edit, adapt, distribute, transmit, publish, publicly display, publicly perform, market, and reuse the AGENT’s image, voice, name, likeness, testimonial, participation, photograph, and any audiovisual or photographic material in which the AGENT appears;
- b) Use such material for educational, promotional, commercial, corporate, institutional, or marketing purposes, without territorial or temporal limitation;
- c) Make technical or creative modifications as reasonably necessary, provided that such modifications do not constitute defamatory alteration or improper use.
The AGENT further represents and agrees that:
- The AGENT expressly and irrevocably waives any present or future claim relating to rights of publicity, image rights, voice rights, additional compensation, royalties, or any other right arising from the authorized use described herein;
- This authorization does not create an employment relationship nor entitle the AGENT to any compensation other than that expressly provided under this Agreement;
- The authorization granted herein shall be binding upon the AGENT’s heirs, successors, legal representatives, and any third party claiming rights derived from the AGENT’s image or participation.
The AGENT releases and agrees to indemnify and hold harmless Pro Financial Group, Corp. from and against any claim, demand, lawsuit, or proceeding arising out of the authorized use of the AGENT’s image, voice, or participation in accordance with this Section.
This provision shall survive indefinitely following termination of this Agreement.
TWENTY-SECOND: EQUAL OPPORTUNITY CONTRACTUAL POLICY (EEO)
Pro Financial Group, Corp. and the AGENT reaffirm their commitment to the principles of equal opportunity, respect, dignity, and inclusion in all contractual relationships.
The Company strictly prohibits any form of discrimination, harassment, retaliation, or unequal treatment against contractors or applicants for contractual engagement on the basis of race, color, national origin, citizenship, religion, sex, gender, gender identity or expression, sexual orientation, age, physical or mental disability, marital or familial status, pregnancy, protected genetic information, or any other status protected under applicable federal or state law.
All contractual decisions, including selection, assignment of opportunities, compensation, training, evaluation, and termination, shall be based solely on objective, professional, and performance-related criteria.
Managers and supervisors shall ensure compliance with this policy, promote an environment of respect and equality, and maintain open channels for reporting concerns or violations without fear of retaliation.
The Company shall fully comply with all applicable civil rights and equal opportunity laws and regulations, including, without limitation, Title VII of the Civil Rights Act, the Americans with Disabilities Act (ADA), the Age Discrimination in Employment Act (ADEA), the Genetic Information Nondiscrimination Act (GINA), and all other applicable federal and state laws.
Any conduct inconsistent with this policy may result in disciplinary measures, including termination of the Agreement.
TWENTY-THIRD:
ACCEPTANCE, GOOD FAITH, AND BINDING EFFECT
The parties declare that this Agreement has been negotiated, reviewed, and executed freely, in good faith, and with full knowledge of its contents and legal consequences.
The AGENT represents that he or she has carefully read this Agreement in its entirety, understands his or her rights and obligations, has had the opportunity to seek independent legal counsel, and voluntarily accepts all of its provisions.
This Agreement constitutes the complete understanding between the parties and shall be legally binding upon them and upon their respective heirs, successors, and permitted assigns.

POR CUANTO, EL CONTRATISTA ha manifestado su interés en prestar servicios a favor de la Compañía bajo la modalidad de contratista independiente, y declara estar dispuesto a aceptar dicha contratación y someterse a los términos, condiciones y disposiciones establecidos en el presente Contrato;
POR TANTO, en consideración de las declaraciones anteriores, así como de las obligaciones, convenios y promesas mutuas aquí contenidas, las partes acuerdan lo siguiente:
EL CONTRATISTA declara y garantiza que toda la información suministrada a la Compañía en su solicitud y documentación relacionada es completa, veraz y exacta. Asimismo, acepta cumplir estrictamente con el Código de Conducta, las Políticas y Procedimientos vigentes de PRO FINANCIAL GROUP, CORP., disponibles en www.profinancialgroup.com, así como con el Plan de Compensación oficial y las directrices relativas a la promoción y comercialización de los productos y servicios autorizados por la Compañía, utilizando exclusivamente la literatura, materiales y comunicaciones oficialmente aprobados por PRO FINANCIAL GROUP, CORP.
PRIMERO: NATURALEZA DE LA RELACIÓN
El AGENTE actuará en todo momento como contratista independiente y no como empleado, socio, agente fiduciario, representante legal ni asociado de la Compañía para ningún propósito.
Nada de lo contenido en el presente Contrato deberá interpretarse como la creación de una relación de empleo, sociedad, joint venture, mandato, agencia general ni relación fiduciaria entre las partes.
El AGENTE reconoce y acepta que:
- a) Tendrá control exclusivo sobre la forma, medios y métodos mediante los cuales presta sus servicios, sujeto únicamente al cumplimiento de las políticas corporativas y regulaciones aplicables;
- b) Será el único responsable del pago de todos sus impuestos federales, estatales y locales aplicables, incluyendo impuestos sobre ingresos, self-employment tax, seguro social, Medicare y cualquier otra obligación fiscal;
- c) Será responsable de obtener y mantener vigentes todas las licencias, permisos regulatorios, certificaciones y seguros requeridos por ley;
- d) Asumirá todos sus gastos operativos, comerciales y administrativos;
- e) No tendrá derecho a beneficios laborales de ningún tipo, incluyendo pero no limitado a seguro médico, compensación por desempleo, workers’ compensation, vacaciones pagadas, planes de retiro o beneficios similares.
La Compañía podrá emitir los formularios fiscales correspondientes, incluyendo pero no limitándose al Formulario 1099-NEC, conforme a la legislación aplicable.
El AGENTE no tendrá autoridad, expresa ni implícita, para obligar, vincular, representar, asumir deudas, realizar declaraciones vinculantes ni comprometer legal o financieramente a la Compañía, salvo autorización previa y expresa por escrito emitida por un representante corporativo debidamente autorizado.
El AGENTE indemnizará y mantendrá indemne a la Compañía frente a cualquier reclamación, multa, penalidad o responsabilidad derivada de su incumplimiento fiscal, regulatorio o de su actuación fuera del alcance autorizado.
SEGUNDO: PROPIEDAD INTELECTUAL Y SISTEMA CORPORATIVO
Todos los sistemas corporativos, metodologías, estrategias comerciales, estructuras de compensación, presentaciones, guiones, entrenamientos, materiales educativos, manuales, bases de datos, listas de prospectos, leads, cartera de clientes, información confidencial, marca, nombres comerciales, logotipos, diseños, reputación, goodwill, procesos operativos, software, contenido digital, know-how, secretos comerciales, así como cualquier mejora, modificación, adaptación, desarrollo o trabajo derivado relacionado directa o indirectamente con los mismos (colectivamente, la “Propiedad Intelectual”), son y permanecerán en todo momento como propiedad exclusiva de PRO FINANCIAL GROUP, CORP.
Nada en este Contrato se interpretará como transferencia de titularidad o cesión de derechos de propiedad intelectual al AGENTE.
El AGENTE reconoce que dicha Propiedad Intelectual constituye información confidencial y secretos comerciales protegidos bajo las leyes estatales aplicables y bajo el Defend Trade Secrets Act (18 U.S.C. §1836).
Durante la vigencia del presente Contrato, la Compañía otorga al AGENTE una licencia limitada, revocable, no exclusiva, intransferible y no sublicenciable, exclusivamente para fines operativos autorizados dentro del sistema corporativo de la Compañía.
Dicha licencia:
- a) No otorga derecho de propiedad alguno;
b) No permite copia, reproducción, modificación o distribución fuera del marco autorizado;
c) Termina automáticamente al finalizar la relación contractual, sin necesidad de notificación adicional.
Cualquier material, mejora, adaptación, contenido, presentación o desarrollo creado por el AGENTE que esté relacionado directa o indirectamente con el negocio, sistema o actividades de la Compañía será considerado “work made for hire” en la medida permitida por la ley. En caso de que alguna creación no califique como tal, el AGENTE por este medio cede irrevocablemente todos los derechos, títulos e intereses a favor de la Compañía.
El uso no autorizado, apropiación, reproducción, divulgación o explotación de la Propiedad Intelectual facultará a la Compañía a solicitar medidas cautelares inmediatas (injunctive relief), daños monetarios, daños ejemplares cuando proceda, y cualquier otro remedio disponible en derecho o equidad.
TERCERO: CONFIDENCIALIDAD Y PROTECCIÓN DE SECRETOS COMERCIALES
Para efectos del presente Contrato, “Información Confidencial” significará toda información no pública, escrita, verbal, digital o en cualquier otro formato, a la que el AGENTE tenga acceso directa o indirectamente, incluyendo, sin limitarse a: sistemas corporativos, estrategias comerciales, estructuras de compensación, listas de clientes, bases de datos, leads, información financiera, entrenamientos, guiones, manuales, procesos internos, know-how, secretos comerciales, planes de expansión, información tecnológica y cualquier otra información propietaria de la Compañía.
El AGENTE se obliga a:
- a) Mantener estricta confidencialidad respecto de toda Información Confidencial;
b) No copiar, reproducir, descargar, almacenar, transmitir, divulgar ni permitir el acceso a terceros sin autorización previa y escrita;
c) Utilizar dicha información exclusivamente para fines autorizados dentro del marco del presente Contrato;
d) Adoptar medidas razonables para proteger dicha información contra acceso no autorizado.
Las obligaciones aquí establecidas tendrán carácter indefinido respecto a secretos comerciales y permanecerán vigentes mientras la información conserve dicho carácter bajo la ley aplicable. Respecto a otra Información Confidencial que no constituya secreto comercial, la obligación sobrevivirá por un período de cinco (5) años posteriores a la terminación del Contrato.
Al terminar la relación contractual, el AGENTE deberá devolver inmediatamente y/o destruir toda Información Confidencial, incluyendo copias físicas o digitales, y certificar por escrito su cumplimiento.
El AGENTE reconoce que el uso o divulgación no autorizada causará daño irreparable a la Compañía, por lo que esta podrá solicitar medidas cautelares inmediatas (injunctive relief), además de daños monetarios, daños ejemplares cuando proceda, honorarios de abogados y cualquier otro remedio disponible en derecho o equidad.
De conformidad con el Defend Trade Secrets Act (18 U.S.C. §1833), el AGENTE no será considerado responsable bajo leyes federales o estatales de secreto comercial por la divulgación de información confidencial cuando dicha divulgación sea realizada en confidencia a un abogado o a una autoridad gubernamental con el propósito exclusivo de reportar o investigar una posible violación de la ley.
CUARTO: EXCLUSIVIDAD Y CONFLICTO DE INTERÉS DURANTE LA VIGENCIA
Durante la vigencia del presente Contrato, el AGENTE se obliga a mantener lealtad comercial hacia la Compañía en relación con las actividades cubiertas por este Acuerdo.
En consecuencia, el AGENTE no podrá, directa o indirectamente:
- a) Vender, promover, distribuir o comercializar productos o servicios que compitan sustancialmente con los productos o servicios ofrecidos por la Compañía dentro del mismo mercado objetivo;
- b) Participar en actividades comerciales que generen un conflicto material de interés con la Compañía;
- c) Utilizar información, contactos, bases de datos o relaciones obtenidas a través de la Compañía para beneficiar a terceros competidores.
Para efectos del presente Contrato, se considerará “conflicto material de interés” cualquier actividad que razonablemente pueda afectar la capacidad del AGENTE para actuar en el mejor interés comercial de la Compañía respecto a los productos y servicios autorizados.
Esta obligación aplicará exclusivamente durante la vigencia del Contrato y no se extenderá más allá de su terminación, salvo lo dispuesto en las cláusulas de confidencialidad y no solicitación.
El incumplimiento de esta disposición facultará a la Compañía a terminar inmediatamente el Contrato y a ejercer los remedios legales correspondientes, incluyendo daños y medidas cautelares cuando proceda.
Para efectos del presente Contrato, se considerarán productos o servicios competidores aquellos relacionados con la comercialización de:
- Pólizas de Index Universal Life (IUL);
- Pólizas de Whole Life;
- Seguros de vida a término;
- Estrategias financieras estructuradas mediante pólizas de vida permanente destinadas a la acumulación de capital para inversión en bienes raíces;
- Modelos, metodologías o sistemas que utilicen seguros de vida como vehículo principal para la creación de capital con fines de inversión inmobiliaria.
No se considerarán actividades competidoras aquellas que no estén sustancialmente relacionadas con las categorías anteriores o que no interfieran materialmente con las actividades comerciales del AGENTE bajo el presente Contrato.
QUINTO: NO SOLICITACIÓN Y RESTRICCIONES POSTERIORES A LA TERMINACIÓN
Tras la terminación del presente Contrato por cualquier causa, el AGENTE podrá ejercer libremente su profesión, sujeto únicamente a las limitaciones razonables establecidas a continuación, las cuales las partes reconocen como necesarias para proteger los intereses legítimos de la Compañía, incluyendo sus secretos comerciales, información confidencial y goodwill.
A. Protección Permanente de Secretos Comerciales
Sin limitación temporal alguna, el AGENTE no podrá, directa o indirectamente:
- Utilizar, divulgar o explotar secretos comerciales o Información Confidencial de la Compañía;
- Replicar, reproducir, implementar o enseñar sistemas corporativos, metodologías, estructuras estratégicas o modelos de negocio desarrollados por la Compañía;
- Copiar, adaptar, distribuir o reutilizar materiales, presentaciones, entrenamientos, manuales o contenidos propietarios;
- Utilizar bases de datos, listas de clientes, leads, prospectos o información obtenida durante la vigencia del Contrato.
B. No Solicitación de Clientes y Agentes
Durante y después de la terminación del Contrato, el AGENTE no podrá, directa o indirectamente:
- Reclutar, inducir, persuadir o intentar reclutar a agentes, afiliados, representantes o miembros activos de la organización de la Compañía para que cesen su relación o se vinculen con un tercero competidor;
- Desviar, solicitar, captar o intentar captar clientes, prospectos o leads de la Compañía con los cuales el AGENTE haya tenido contacto material, interacción comercial o acceso a información durante la vigencia y después de la terminación del presente Contrato.
Para efectos de esta disposición, “contacto material” significará comunicación directa, asesoría, presentación de propuesta, acceso a información estratégica o participación en proceso de venta.
C. Razonabilidad y Reforma Judicial
Las partes acuerdan que las restricciones aquí establecidas son razonables en alcance, duración y propósito. No obstante, en caso de que un tribunal determine que alguna disposición es excesiva o no ejecutable, dicho tribunal podrá modificarla en la medida necesaria para hacerla válida y ejecutable, manteniendo la máxima protección permitida por la ley (blue pencil doctrine).
D. Medidas Cautelares y Honorarios
El AGENTE reconoce que el incumplimiento de esta cláusula causaría daño irreparable a la Compañía, por lo que esta podrá solicitar medidas cautelares inmediatas (temporary restraining order, preliminary injunction o permanent injunction), además de daños compensatorios, daños ejemplares cuando procedan y recuperación de honorarios razonables de abogados y costos judiciales.
Las obligaciones contenidas en esta sección permanecerán vigentes mientras la información conserve su carácter de secreto comercial bajo la ley aplicable.
SEXTO: PROTECCIÓN DE ORGANIZACIÓN, RED Y GOODWILL CORPORATIVO
El AGENTE reconoce y acepta que cualquier equipo, red de agentes, estructura organizacional, línea descendente, afiliados, representantes, cartera de clientes, prospectos, bases de datos, goodwill y relaciones comerciales desarrolladas durante la vigencia del presente Contrato, aun cuando hayan sido reclutadas, gestionadas o lideradas directamente por el AGENTE, han sido creadas bajo la marca, sistemas, metodologías, estrategias, acompañamiento personalizado, capacitación, infraestructura y recursos corporativos proporcionados por PRO FINANCIAL GROUP, CORP.
En consecuencia, las partes acuerdan lo siguiente:
- Naturaleza Corporativa de la Organización
Toda organización creada bajo el sistema corporativo de la Compañía se considerará parte integral del goodwill y estructura empresarial de PRO FINANCIAL GROUP, CORP., y no propiedad exclusiva, transferible ni apropiable por el AGENTE.
- Prohibición de Migración o Transferencia
Tras la terminación del presente Contrato por cualquier causa, el AGENTE no podrá, directa o indirectamente:
- a) Transferir, migrar, reasignar o inducir a miembros de su organización a operar bajo otra compañía competidora;
b) Desmantelar, reorganizar o replicar sustancialmente la estructura creada utilizando sistemas o metodologías de la Compañía;
c) Utilizar la influencia, liderazgo o relaciones desarrolladas dentro del sistema corporativo para desviar total o parcialmente la organización;
d) Facilitar la transición colectiva o individual de agentes o clientes hacia estructuras externas competidoras.
- No Restricción a Decisiones Independientes
Nada en esta cláusula impedirá que terceros, sin solicitud, inducción, coordinación o interferencia del AGENTE, decidan voluntariamente desvincularse de la Compañía por iniciativa propia.
- Reconocimiento de Intereses Legítimos
El AGENTE reconoce que esta disposición protege intereses comerciales legítimos de la Compañía, incluyendo inversión en entrenamiento, desarrollo organizacional, secretos comerciales y goodwill corporativo.
- Medidas Cautelares y Remedios
El incumplimiento de esta cláusula facultará a la Compañía a solicitar medidas cautelares inmediatas, daños compensatorios, daños ejemplares cuando procedan, y recuperación de honorarios razonables de abogados y costos legales.
SÉPTIMO: PROTECCIÓN DE DATOS Y CUMPLIMIENTO REGULATORIO
El AGENTE se compromete a cumplir estrictamente con todas las leyes federales, estatales y regulatorias aplicables en materia de privacidad, protección de datos y seguridad de la información, incluyendo, sin limitarse a, el Gramm-Leach-Bliley Act (GLBA), la FTC Safeguards Rule, el California Consumer Privacy Act (CCPA/CPRA), y cualquier otra legislación estatal o federal aplicable en las jurisdicciones donde opere.
- Uso Limitado de Información Personal
El AGENTE únicamente podrá utilizar información personal o financiera de clientes, prospectos o agentes para fines legítimos y autorizados dentro del marco del presente Contrato.
- Medidas de Seguridad
El AGENTE deberá implementar y mantener medidas administrativas, técnicas y físicas razonables y apropiadas para proteger la información contra acceso no autorizado, divulgación, alteración o destrucción indebida.
- Prohibición de Uso No Autorizado
El AGENTE no podrá vender, compartir, transferir ni divulgar información personal a terceros sin autorización expresa y escrita de la Compañía, salvo cuando sea requerido por ley.
- Notificación de Incidentes
El AGENTE deberá notificar por escrito a la Compañía dentro de las veinticuatro (24) horas siguientes a tener conocimiento de cualquier acceso no autorizado, pérdida, brecha de seguridad o incidente que comprometa datos personales o financieros relacionados con la Compañía.
- Cooperación en Investigación
El AGENTE cooperará plenamente en cualquier investigación interna, notificación a autoridades regulatorias o cumplimiento de obligaciones legales derivadas de un incidente de seguridad.
- Responsabilidad e Indemnización
El AGENTE será responsable por cualquier incumplimiento de esta cláusula y deberá indemnizar y mantener indemne a la Compañía frente a multas, sanciones, reclamaciones, daños y costos legales derivados de su negligencia, incumplimiento o conducta indebida.
OCTAVO: MEDIDAS CAUTELARES (INJUNCTIVE RELIEF) Y REMEDIOS
El AGENTE reconoce y acepta que el incumplimiento de las obligaciones establecidas en las Secciones de Confidencialidad, Propiedad Intelectual, No Solicitación, Protección de Organización y Protección de Datos causará daños irreparables a la Compañía, cuya cuantificación monetaria sería difícil o imposible de determinar con precisión.
En consecuencia, la Compañía tendrá derecho, además de cualquier otro remedio disponible en derecho o equidad, a:
- Solicitar y obtener medidas cautelares inmediatas, incluyendo Temporary Restraining Order (TRO), Preliminary Injunction y Permanent Injunction, sin necesidad de probar daño económico específico;
- Solicitar el cumplimiento específico (specific performance) de las obligaciones contractuales;
- Reclamar daños compensatorios, daños consecuenciales y daños ejemplares cuando procedan;
- Recuperar honorarios razonables de abogados, costos judiciales y gastos relacionados con la ejecución del presente Contrato;
- Ejercer cualquier otro remedio permitido por la ley aplicable.
El AGENTE renuncia expresamente a cualquier argumento de que la Compañía dispone de un remedio adecuado exclusivamente en daños monetarios.
Los derechos y remedios aquí establecidos serán acumulativos y no excluyentes de otros derechos previstos en este Contrato o en la ley.
NOVENO: LEY APLICABLE, JURISDICCIÓN Y FORO EXCLUSIVO
El presente Contrato se regirá e interpretará de conformidad con las leyes del Estado de Carolina del Norte, Estados Unidos de América, sin dar efecto a principios de conflicto de leyes que pudieran resultar en la aplicación de leyes de otra jurisdicción.
Las partes acuerdan que cualquier acción, reclamación o procedimiento derivado o relacionado con el presente Contrato deberá presentarse exclusivamente ante los tribunales estatales ubicados en Mecklenburg County, Carolina del Norte, o ante el Tribunal Federal del Distrito Oeste de Carolina del Norte, según corresponda.
El AGENTE consiente expresa e irrevocablemente a la jurisdicción personal de dichos tribunales y renuncia a cualquier objeción basada en falta de jurisdicción, foro inconveniente (forum non conveniens) o cualquier argumento similar.
Las partes acuerdan que dicho foro constituye un lugar apropiado y conveniente para la resolución de cualquier controversia.
DÉCIMO: RESPONSABILIDAD POR CHARGEBACKS, REEMBOLSO E INTERESES
El AGENTE reconoce que en la industria de seguros de vida las aseguradoras pueden adelantar comisiones basadas en el monto anualizado de la prima, y que dichas comisiones están sujetas a reversión total o parcial (“chargeback”) en caso de cancelación, rescisión, reducción, falta de pago o terminación anticipada de la póliza dentro del período de responsabilidad establecido por la aseguradora.
1. Responsabilidad Directa y Solidaria
El AGENTE será exclusivamente responsable por cualquier chargeback derivado de pólizas vendidas, promovidas o gestionadas directa o indirectamente por él.
El AGENTE reconoce que la aseguradora puede cobrar el chargeback:
- a) Directamente al AGENTE;
b) A PRO FINANCIAL GROUP, CORP.;
c) A uno o más agentes en la línea ascendente (upline).
Independientemente de a quién la aseguradora realice el cobro, el AGENTE seguirá siendo el responsable final del monto total adeudado.
2. Derecho de Reembolso a Favor de PRO FINANCIAL GROUP, CORP.
En caso de que la aseguradora deduzca, cobre o compense el chargeback contra PRO FINANCIAL GROUP, CORP. o cualquier miembro de la línea ascendente, el AGENTE se obliga a reembolsar a PRO FINANCIAL GROUP, CORP. la totalidad del monto cobrado dentro de un plazo máximo de treinta (30) días calendario contados a partir de la notificación escrita.
El AGENTE reconoce que PRO FINANCIAL GROUP, CORP. queda expresamente autorizada para reclamar y cobrar dicho monto directamente, independientemente de la estructura de patrocinio intermedia.
3. Cesión y Subrogación
En la medida en que PRO FINANCIAL GROUP, CORP. pague o absorba cualquier chargeback generado por el AGENTE, este último reconoce la subrogación automática de la Compañía en los derechos de cobro correspondientes, quedando facultada para exigir el reembolso total.
4. Conversión en Deuda Líquida
Cualquier monto no pagado dentro del plazo indicado constituirá una deuda líquida, vencida y exigible a favor de PRO FINANCIAL GROUP, CORP., sin necesidad de requerimiento adicional.
5. Intereses por Mora
Los montos adeudados devengarán intereses a una tasa anual fija del doce por ciento (12%) o la tasa máxima permitida por la ley aplicable, desde la fecha de vencimiento hasta su pago total.
6. Recuperación Legal y Reporte Crediticio
En caso de incumplimiento, PRO FINANCIAL GROUP, CORP. podrá:
- a) Iniciar acciones legales para el cobro;
b) Recuperar honorarios razonables de abogados, costos judiciales y gastos de cobranza;
c) Reportar la deuda a agencias de reporte crediticio conforme a la Fair Credit Reporting Act (FCRA) y demás leyes aplicables, previa notificación al AGENTE y oportunidad razonable de disputa.
7. Reconocimiento de Práctica Industrial
El AGENTE reconoce que esta disposición constituye práctica estándar en la industria de seguros y que forma parte esencial del presente Contrato.
DÉCIMO PRIMERO: SEPARABILIDAD Y REFORMA JUDICIAL (BLUE PENCIL)
Si cualquier disposición del presente Contrato, o parte de ella, fuera declarada inválida, ilegal o no ejecutable por un tribunal competente, dicha disposición será interpretada, modificada o limitada en la medida mínima necesaria para hacerla válida y ejecutable conforme a la ley aplicable, preservando en la mayor medida posible la intención original de las partes.
Las partes autorizan expresamente al tribunal a reformar cualquier disposición que resulte excesiva en alcance, duración o ámbito, de manera que se ajuste al máximo permitido por la ley sin afectar la validez del resto del Contrato.
La invalidez o inaplicabilidad de una disposición no afectará la validez, legalidad o exigibilidad de las demás disposiciones del presente Contrato, las cuales permanecerán en pleno vigor y efecto.
Las partes reconocen que cada obligación contenida en este Contrato es independiente y divisible.
DÉCIMO SEGUNDO: SUPERVIVENCIA
Las disposiciones del presente Contrato que por su naturaleza estén destinadas a sobrevivir a la terminación del mismo permanecerán vigentes y plenamente exigibles después de dicha terminación, independientemente de la causa.
Sin limitar lo anterior, sobrevivirán:
- Las obligaciones relacionadas con secretos comerciales e Información Confidencial, las cuales permanecerán vigentes mientras dicha información conserve su carácter confidencial o de secreto comercial bajo la ley aplicable;
- Las disposiciones relativas a Propiedad Intelectual y cesión de derechos;
- Las obligaciones de No Solicitación y Protección de Organización durante los plazos expresamente establecidos;
- Las obligaciones relacionadas con Protección de Datos;
- Las disposiciones relativas a Chargebacks, reembolso, intereses y obligaciones de pago pendientes;
- Las disposiciones sobre Medidas Cautelares, Jurisdicción, Honorarios Legales y cualquier otro remedio contractual.
La terminación del Contrato no liberará al AGENTE de obligaciones acumuladas, responsabilidades pendientes ni de cualquier incumplimiento ocurrido antes de la terminación.
DÉCIMO TERCERO: TERMINACIÓN POR CAUSA
La Compañía podrá terminar el presente Contrato de manera inmediata y sin previo aviso en caso de que el AGENTE:
- a) Incumpla cualquier disposición material del presente Contrato;
b) Participe en fraude, tergiversación, conducta engañosa o prácticas contrarias a la ley o regulaciones aplicables;
c) Viole las Políticas y Procedimientos de la Compañía;
d) Realice actos que puedan dañar la reputación, marca o goodwill de PRO FINANCIAL GROUP, CORP.;
e) Incumpla obligaciones relacionadas con confidencialidad, no solicitación, protección de datos o chargebacks.
La terminación por causa no liberará al AGENTE de obligaciones acumuladas ni de responsabilidades pendientes.
DÉCIMO CUARTO: ACUERDO COMPLETO (ENTIRE AGREEMENT)
El presente Contrato constituye el acuerdo completo e íntegro entre las partes y sustituye cualquier negociación, declaración, promesa, acuerdo o entendimiento previo, ya sea verbal o escrito.
El AGENTE reconoce que no ha confiado en declaraciones o promesas no contenidas expresamente en este documento.
DÉCIMO QUINTO: MODIFICACIONES
Cualquier modificación, enmienda o alteración del presente Contrato deberá constar por escrito y estar firmada por un representante corporativo debidamente autorizado de PRO FINANCIAL GROUP, CORP.
Ninguna comunicación verbal, mensaje electrónico, mensaje de texto o intercambio informal constituirá modificación válida.
DÉCIMO SEXTO: RENUNCIA (WAIVER)
La falta de ejercicio por parte de la Compañía de cualquier derecho previsto en el presente Contrato no constituirá renuncia a dicho derecho ni impedirá su ejercicio posterior. Toda renuncia deberá constar por escrito.
DÉCIMO SÉPTIMO: HONORARIOS LEGALES (PREVAILING PARTY)
En cualquier acción o procedimiento derivado del presente Contrato, la parte que resulte sustancialmente vencedora tendrá derecho a recuperar honorarios razonables de abogados, costos judiciales y gastos relacionados.
DÉCIMO OCTAVO: RENUNCIA A JUICIO POR JURADO
En la máxima medida permitida por la ley aplicable, las partes renuncian expresamente al derecho a juicio por jurado en cualquier litigio derivado del presente Contrato.
DÉCIMO NOVENO: FIRMAS ELECTRÓNICAS Y EJECUCIÓN EN CONTRAPARTES
El presente Contrato podrá firmarse en una o más contrapartes, incluyendo mediante firma electrónica, las cuales tendrán la misma validez y efecto legal que una firma original manuscrita.
VIGÉSIMO: AUTORIZACIÓN IRREVOCABLE DE USO DE IMAGEN, VOZ Y CONTENIDO AUDIOVISUAL
El AGENTE reconoce y acepta que, en el marco de su relación contractual con Pro Financial Group, Corp., podrá participar voluntariamente en conferencias, entrenamientos, reuniones presenciales o virtuales, transmisiones en vivo, grabaciones, entrevistas, programas educativos, presentaciones corporativas, eventos promocionales y/o contenido difundido a través de cualquier medio de comunicación existente o por desarrollarse en el futuro, incluyendo pero sin limitarse a YouTube, redes sociales, páginas web, plataformas educativas, televisión, radio, podcasts y material publicitario impreso o digital.
En consecuencia, el AGENTE otorga de manera expresa, irrevocable, perpetua, mundial y libre de regalías, autorización a Pro Financial Group, Corp., sus afiliadas, sucesores, cesionarios y representantes, para:
- a) Grabar, reproducir, editar, adaptar, distribuir, transmitir, publicar, comunicar públicamente, comercializar y reutilizar su imagen, voz, nombre, testimonio, participación, fotografía y cualquier material audiovisual o fotográfico en el que aparezca.
- b) Utilizar dicho material con fines educativos, promocionales, comerciales, corporativos, institucionales o de mercadeo, sin limitación territorial ni temporal.
- c) Realizar modificaciones técnicas o creativas necesarias sin que ello implique alteración difamatoria o uso indebido.
El AGENTE declara que:
- Renuncia expresa e irrevocablemente a cualquier reclamación presente o futura por concepto de derechos de imagen, voz, publicidad, compensación adicional, regalías o cualquier otro derecho derivado del uso autorizado en esta cláusula.
- Esta autorización no constituye relación laboral ni genera compensación adicional distinta a la establecida en el presente contrato.
- La autorización aquí otorgada será vinculante para sus herederos, sucesores, representantes legales y cualquier tercero que pretenda alegar derechos derivados de su imagen o participación.
El AGENTE libera y mantiene indemne a Pro Financial Group, Corp. de cualquier reclamación, demanda, acción judicial o extrajudicial relacionada con el uso autorizado de su imagen, voz o participación conforme a esta cláusula.
Esta disposición sobrevivirá de manera indefinida a la terminación del presente Contrato.
VIGÉSIMO PRIMERO: RENUNCIA A DEMANDAS COLECTIVAS (CLASS ACTION WAIVER)
El AGENTE acepta que cualquier reclamación deberá presentarse exclusivamente de manera individual y no como parte de una acción colectiva o representativa.
VIGÉSIMO SEGUNDO: DECLARACIÓN DE POLÍTICA DE IGUALDAD DE OPORTUNIDADES CONTRACTUALES (EEO)
Pro Financial Group, Corp. Y EL AGENTE, reafirman su compromiso con los principios de igualdad de oportunidades, respeto, dignidad e inclusión en todas sus relaciones contractuales.
La Compañía prohíbe estrictamente cualquier forma de discriminación, acoso, represalia o trato desigual contra Contratistas o solicitantes de contrato por motivos de raza, color, origen nacional, ciudadanía, religión, sexo, género, identidad o expresión de género, orientación sexual, edad, discapacidad física o mental, estado civil o familiar, embarazo, información genética protegida o cualquier otra condición protegida por la ley federal o estatal aplicable.
Todas las decisiones contractuales, incluyendo selección, asignación de oportunidades, compensación, capacitación, evaluación y terminación, se basarán exclusivamente en criterios objetivos, profesionales y de desempeño. Los gerentes y supervisores deberán garantizar el cumplimiento de esta política, promover un ambiente de respeto e igualdad, y mantener canales abiertos para reportar inquietudes o violaciones sin temor a represalias.
La Compañía cumplirá plenamente con todas las leyes y regulaciones aplicables de derechos civiles e igualdad de oportunidades, incluyendo —sin limitación— Title VII del Civil Rights Act, ADA, ADEA, GINA y demás normativas federales y estatales aplicables.
Cualquier conducta discriminatoria o contraria a esta política podrá resultar en medidas disciplinarias, incluyendo la terminación del contrato.
ACEPTACIÓN, BUENA FE Y CARÁCTER VINCULANTE
Las partes declaran que el presente Contrato ha sido negociado, revisado y firmado libremente, de buena fe y con pleno conocimiento de su contenido y efectos legales.
El AGENTE manifiesta que ha leído íntegramente el presente documento, comprende sus derechos y obligaciones, ha tenido la oportunidad de consultar asesoría legal independiente y acepta voluntariamente todas sus disposiciones.
El presente Contrato constituye el acuerdo completo entre las partes y será legalmente vinculante para ellas, así como para sus herederos, sucesores y cesionarios.
En constancia de lo anterior, las partes firman el presente documento en la fecha indicada a continuación.
